4.1 Client Responsibility for Copyrighted Content
• Any content or images used on the client’s website or system and claimed to be subject to copyright is the sole responsibility of the client, as they are the owner of the website or such system.
• Willan Technologies shall not be held liable for any claims, legal actions, or disputes arising from the use of copyrighted materials on a client’s website or system.
4.2 Ownership of Work
• All intellectual property rights, including but not limited to copyrights, patents, trademarks, and trade secrets, related to services provided by Willan Technologies shall remain the exclusive property of Willan Technologies unless explicitly agreed otherwise in writing.
• Custom projects such as websites, applications, and software developed for clients may be transferred upon full payment, subject to licensing agreements and restrictions.
• Any pre-existing proprietary tools, frameworks, or software used in delivering services remain the property of Willan Technologies.
4.3 Use of Content
• Clients may not copy, modify, distribute, or create derivative works from any intellectual property owned by Willan Technologies without express written consent.
5.1 Limitation of Liability
• Willan Technologies shall not be liable for any indirect, incidental, consequential, or special damages, including but not limited to loss of data, revenue, or profits, arising from the use of its services.
• The maximum liability of Willan Technologies under any circumstances shall not exceed the amount paid by the client for the specific service giving rise to the claim.
5.2 No Warranty
• All services are provided "as is" and "as available." Willan Technologies makes no warranties, express or implied, regarding the accuracy, reliability, or completeness of its services.
• We do not guarantee uninterrupted or error-free service operation.
5.3 Indemnification
• Clients agree to indemnify and hold harmless Willan Technologies, its officers, employees, and affiliates from any claims, damages, or expenses arising from their use of our services.
• Payments for services must be made in accordance with the agreed-upon terms.
• Refunds are governed by our Refund & Cancellation Policy.
• Willan Technologies reserves the right to suspend services for non-payment.
• We reserve the right to terminate or suspend any service without notice if a client violates these Terms or engages in unlawful activities.
• Clients may cancel services by providing written notice, subject to our Refund & Cancellation Policy.
• These Terms and any disputes arising under them shall be governed by and construed in accordance with the laws of the State of Ohio, without regard to conflict of law principles.
• Any legal proceedings shall be conducted in Franklin County, Ohio.
• Willan Technologies reserves the right to update these Terms at any time. Users will be notified of changes via email or through our website.
• Continued use of our services after an update constitutes acceptance of the revised Terms.
